Terms of Service

ACCEPTANCE OF THE TERMS

These Terms of Service ("Terms") constitute a legally binding agreement between you and Nuvotech Consulting LLC d/b/a Furva ("Furva," "Company," "we," "us," or "our"), a Florida limited liability company, governing your access to and use of the Furva website, mobile applications, platform, software, content, tools, features, and related services (collectively, the "Service").

By accessing, browsing, registering for, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, Data Use Policy, and any other policies or guidelines that we may publish from time to time, each of which is incorporated into these Terms by reference. If you do not agree to these Terms, you must not access or use the Service.

You represent and warrant that you are at least eighteen (18) years of age and have the legal capacity and authority to enter into this agreement. If you access or use the Service on behalf of a business, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms, and references to "you" shall include both you and that entity.

The Service is intended solely for pet owners and other authorized users seeking educational information about veterinary laboratory results and related pet health. Access to and use of the Service is void where prohibited by applicable law.

By creating an account, uploading veterinary laboratory reports, submitting information, obtaining AI-generated analyses, participating in referral or telehealth-related services, or otherwise using any aspect of the Service, you expressly agree to be bound by these Terms and acknowledge that your continued use of the Service constitutes ongoing acceptance of these Terms and any updates made to them in accordance with Section 23.

ELIGIBILITY AND ACCOUNT REGISTRATION

To access certain features of the Service, you may be required to create and maintain a user account. You agree to provide accurate, current, and complete information during registration and to promptly update such information to keep it accurate and complete at all times.

You must be at least eighteen (18) years of age to create an account or use the Service. By creating an account, you represent and warrant that you meet this eligibility requirement and that all information you provide is truthful and accurate.

You are solely responsible for maintaining the confidentiality of your account credentials, including your username and password, and for all activities that occur under your account. You agree to notify Furva immediately of any unauthorized access to, use of, or suspected breach of your account.

You may not share your account credentials with any other person, permit another person to access your account, create multiple accounts for deceptive or fraudulent purposes, or impersonate any individual or entity while using the Service.

We reserve the right to refuse registration, suspend access, require additional verification, reclaim usernames, or terminate accounts at our sole discretion if we believe that any information provided is inaccurate, misleading, fraudulent, unlawful, or otherwise violates these Terms.

Account registration and use of the Service do not create a veterinarian-client-patient relationship, healthcare provider relationship, agency relationship, partnership, joint venture, employment relationship, or fiduciary relationship between you and Furva.

DESCRIPTION OF THE PLATFORM AND SERVICES

Furva is a technology platform designed to assist pet owners in organizing, understanding, and tracking veterinary laboratory information through the use of artificial intelligence and related technologies.

The Service may allow users to upload veterinary laboratory reports and related pet health information, extract and organize laboratory values, generate AI-assisted educational summaries, identify laboratory values that fall outside referenced ranges, track historical laboratory trends, store pet health records, receive informational content, and access other features that may be introduced from time to time.

Furva may also facilitate introductions, referrals, scheduling assistance, communications, and connections between users and independent third-party veterinary professionals, veterinary clinics, telehealth providers, pharmacies, pet product providers, nutrition providers, or other service providers. Any such providers are independent third parties and are not employees, agents, partners, representatives, or healthcare providers of Furva.

From time to time, Furva may offer additional products, subscription services, referral programs, educational resources, marketplace features, e-commerce functionality, telehealth-related tools, or other services. Such features may be subject to additional terms, disclosures, consents, or agreements.

Furva operates solely as a technology and information platform. Furva does not practice veterinary medicine, provide veterinary services, diagnose medical conditions, prescribe medications, recommend treatment plans, supervise veterinary care, or make clinical decisions regarding any pet.

The availability, functionality, scope, and content of the Service may change at any time. We reserve the right to modify, suspend, discontinue, add, or remove any feature, functionality, product, integration, referral relationship, or service offering without prior notice and without liability to you.

VETERINARY DISCLAIMER

FURVA IS NOT A VETERINARY PRACTICE, VETERINARY CLINIC, ANIMAL HOSPITAL, EMERGENCY CARE PROVIDER, TELEHEALTH PROVIDER, OR LICENSED VETERINARY PROFESSIONAL.

The Service is an informational and educational technology platform designed to help pet owners understand and track veterinary laboratory information. All content, analyses, summaries, alerts, recommendations, and other information provided through the Service are for informational purposes only.

Furva does not provide veterinary advice, diagnoses, treatment recommendations, prescriptions, or professional veterinary services. Nothing on the Service should be relied upon as a substitute for professional veterinary care.

You should always consult a licensed veterinarian regarding your pet's health, treatment, medications, nutrition, and medical care. Any reliance on information provided through the Service is at your own risk. If your pet is experiencing a medical emergency, contact a licensed veterinarian or emergency veterinary clinic immediately.

Your use of the Service does not create a veterinarian-client-patient relationship or any other professional relationship with Furva. Any veterinarian, clinic, telehealth provider, pharmacy, or other third party you interact with through the Service is solely responsible for its own services and professional advice.

AI-GENERATED CONTENT DISCLAIMER

The Service uses artificial intelligence and automated technologies to process veterinary laboratory reports, identify laboratory values, generate educational summaries, and provide informational insights.

You acknowledge that AI-generated content may be inaccurate, incomplete, outdated, misleading, or otherwise incorrect. AI outputs may contain errors in extraction, interpretation, transcription, or calculation and should not be relied upon without independent verification.

Furva does not guarantee the accuracy, completeness, reliability, or usefulness of any AI-generated output. AI-generated content may not be reviewed by a veterinarian or other qualified professional before being presented to you.

The AI features are intended solely to help users better understand veterinary laboratory information and are not a substitute for veterinary advice, diagnosis, treatment recommendations, or professional judgment. You are responsible for reviewing your uploaded information, verifying important data, and consulting a licensed veterinarian before making decisions regarding your pet's health or care.

To the fullest extent permitted by law, Furva disclaims liability for any actions taken or not taken based on AI-generated content. By using the Service, you acknowledge and accept the risks associated with artificial intelligence technologies and use such content at your own risk.

VETERINARY REFERRALS, TELEHEALTH SERVICES, AND THIRD-PARTY PROVIDERS

As part of the Service, Furva may facilitate introductions, referrals, scheduling assistance, communications, informational exchanges, or other connections between users and independent third-party veterinarians, veterinary clinics, telehealth providers, pharmacies, laboratories, specialists, pet health providers, and other service providers (collectively, "Third-Party Providers").

Furva does not own, operate, employ, supervise, control, direct, or manage any Third-Party Provider and does not practice veterinary medicine or provide veterinary services through such providers. All Third-Party Providers operate independently and are solely responsible for their professional services, advice, diagnoses, treatment recommendations, prescriptions, consultations, communications, and business practices.

Any veterinary consultation, telehealth session, examination, treatment plan, prescription, referral, recommendation, or other service provided by a Third-Party Provider is solely between you and the applicable provider. Furva is not a party to any professional, medical, veterinary, or commercial relationship that may arise between you and any Third-Party Provider.

Furva does not guarantee the availability, qualifications, licensing status, responsiveness, quality, safety, effectiveness, outcomes, or suitability of any Third-Party Provider. Any decision to engage with a Third-Party Provider is made solely at your discretion and at your own risk.

You acknowledge and agree that Furva shall not be responsible or liable for any acts, omissions, negligence, malpractice, misconduct, errors, delays, injuries, damages, losses, disputes, billing issues, treatment outcomes, or other matters arising from or related to services provided by any Third-Party Provider.

Where permitted by applicable law, Furva may receive referral fees, commissions, revenue-sharing payments, marketing fees, sponsorship payments, or other compensation from Third-Party Providers in connection with referrals, introductions, appointments, purchases, consultations, or other transactions facilitated through the Service. Such compensation arrangements shall not create any obligation for Furva to provide veterinary advice or professional services.

In connection with referral and telehealth-related features, you authorize Furva to share information that you submit through the Service with applicable Third-Party Providers as reasonably necessary to facilitate requested services, appointments, consultations, referrals, communications, or related activities, subject to our Privacy Policy and applicable law.

Certain telehealth, referral, or provider-related features may be subject to additional agreements, informed consent documents, privacy notices, or provider-specific terms and conditions. Your participation in such services may require you to accept additional terms before access is granted.

FUTURE PRODUCT RECOMMENDATIONS AND MARKETPLACE FEATURES

Furva may offer product recommendations, nutritional guidance, pet food suggestions, supplements, pharmacy-related services, marketplace features, affiliate offerings, and other commercial opportunities (collectively, "Marketplace Features").

Any recommendations, rankings, listings, or informational content provided through the Service are for informational purposes only and do not constitute veterinary advice, treatment recommendations, or endorsements of any product or service. Furva does not manufacture, prescribe, distribute, test, or guarantee any third-party products or services offered or referenced through the Service.

Any purchase, order, subscription, or transaction involving a third-party provider is solely between you and that provider. Furva is not responsible for the quality, safety, effectiveness, availability, pricing, fulfillment, warranties, recalls, or support associated with such products or services.

Furva may receive commissions, referral fees, affiliate compensation, or other forms of compensation in connection with certain recommendations, referrals, or transactions. Such compensation does not constitute an endorsement or guarantee of any product or service.

You should consult a licensed veterinarian before administering medications, supplements, nutritional products, or other health-related products to your pet. Furva reserves the right to add, modify, suspend, or discontinue any Marketplace Features at any time.

USER RESPONSIBILITIES AND ACCEPTABLE USE

You are responsible for your use of the Service and for any information, content, documents, communications, or materials you upload, submit, store, or otherwise provide through the Service. You agree to use the Service only for lawful purposes and in compliance with these Terms and applicable laws. You must provide accurate, complete, and current information when creating an account, uploading laboratory reports, or providing pet-related information.

You acknowledge that the accuracy of the Service depends in part on the accuracy of the information you provide. You are responsible for reviewing uploaded reports, verifying extracted data, correcting any inaccuracies, and consulting a licensed veterinarian regarding your pet's health and care. You shall not, directly or indirectly:

  • Upload, submit, transmit, or distribute any false, misleading, fraudulent, inaccurate, or fabricated information;
  • Impersonate any individual, organization, veterinary professional, clinic, or other entity;
  • Use the Service in violation of any applicable law, regulation, court order, or third-party right;
  • Interfere with, disrupt, damage, compromise, or impair the operation, security, integrity, or performance of the Service;
  • Attempt to gain unauthorized access to any account, system, database, network, or portion of the Service;
  • Reverse engineer, decompile, disassemble, copy, scrape, extract, reproduce, modify, or create derivative works of the Service, underlying software, AI models, algorithms, databases, or related technology except as expressly permitted by applicable law;
  • Use automated systems, bots, crawlers, scripts, data mining tools, or similar technologies to access, monitor, collect data from, or interact with the Service without our prior written consent;
  • Upload malicious code, malware, viruses, ransomware, spyware, harmful files, or any technology intended to disrupt or damage the Service or third-party systems;
  • Use the Service to develop, train, benchmark, improve, or support competing products, services, AI models, databases, or technologies;
  • Use the Service in a manner that could create liability for Furva, its users, veterinary providers, service providers, or business partners; or
  • Engage in any conduct that is abusive, harassing, deceptive, threatening, fraudulent, unlawful, or otherwise objectionable.

We reserve the right, but have no obligation, to investigate suspected violations of these Terms and to suspend, restrict, remove, disable, or terminate access to the Service where we reasonably believe a violation has occurred.

USER CONTENT, LAB REPORTS, AND PLATFORM LICENSE

The Service may permit you to upload, submit, transmit, store, or otherwise provide veterinary laboratory reports, pet information, biomarker data, communications, feedback, documents, images, text, and other content or materials (collectively, "User Content").

You retain ownership of any intellectual property rights you may have in your User Content. Nothing in these Terms transfers ownership of your User Content to Furva. By submitting or uploading User Content to the Service, you represent and warrant that:

  • you own or control all rights necessary to provide such User Content and grant the rights described in these Terms;
  • your submission of the User Content does not violate any law, regulation, contractual obligation, intellectual property right, privacy right, or other third-party right;
  • the information you provide is accurate to the best of your knowledge; and
  • you have obtained any permissions, authorizations, or consents necessary for the collection, processing, sharing, and use of the User Content through the Service.

You grant Furva a worldwide, non-exclusive, royalty-free license to host, store, process, analyze, and use your User Content as necessary to operate, maintain, improve, secure, and provide the Service, including through artificial intelligence technologies, cloud providers, and authorized service providers.

Furva may create and use de-identified, aggregated, statistical, benchmarking, transformed, or derived information generated from User Content for research, analytics, product development, artificial intelligence improvement, commercial insights, and other lawful business purposes, as further described in the Privacy Policy and Data Use Policy. Such uses do not depend on separate user consent once the information has been properly de-identified in accordance with applicable law.

If Furva offers research studies, future research programs, or similar initiatives involving identifiable user information or identifiable pet information, participation in such activities will be subject to any applicable opt-in consent requirements.

We reserve the right to remove or restrict access to User Content that violates these Terms, applicable law, third-party rights, or the security and integrity of the Service. The rights granted under this Section will survive as reasonably necessary to operate the Service, comply with legal obligations, protect our rights, and retain de-identified or aggregated data that no longer identifies you or your pet.

INTELLECTUAL PROPERTY RIGHTS

The Service, including its software, technology, AI systems, content, designs, trademarks, logos, features, and related intellectual property (collectively, "Furva IP"), is owned by or licensed to Furva and protected by applicable intellectual property laws.

Except for the limited right to access and use the Service in accordance with these Terms, no ownership or other rights in the Furva IP are transferred to you. All rights not expressly granted are reserved by Furva and its licensors.

You may not copy, modify, distribute, reverse engineer, create derivative works from, or otherwise exploit any portion of the Service or Furva IP except as permitted by law or with Furva's prior written consent. Any trademarks, logos, service marks, and branding displayed through the Service remain the property of Furva or their respective owners and may not be used without authorization.

If you provide feedback, suggestions, ideas, or recommendations regarding the Service ("Feedback"), you grant Furva a perpetual, worldwide, royalty-free right to use, modify, commercialize, and otherwise exploit such Feedback without compensation or obligation to you.

SUBSCRIPTION SERVICES, FEES, AND BILLING

Certain features of the Service may be offered on a paid basis through subscriptions, premium plans, one-time purchases, telehealth-related services, marketplace offerings, or other fee-based arrangements ("Paid Services"). Furva reserves the right to modify its pricing, subscription plans, features, and billing practices at any time, subject to applicable law.

If you purchase Paid Services, you agree to pay all applicable fees, taxes, and charges associated with your selected plan or purchase. For recurring subscriptions, you authorize Furva and its payment processors to automatically charge your designated payment method until cancellation. You are responsible for maintaining accurate payment information. Failure to do so may result in suspension or termination of access to Paid Services.

Unless otherwise required by law or expressly stated, all payments are non-refundable. Subscription plans may automatically renew unless canceled before the applicable renewal date.

Furva may use third-party payment processors, and your use of such services may be subject to their separate terms and policies. Furva is not responsible for errors, delays, or failures caused by third-party payment providers. We reserve the right to suspend or terminate Paid Services for non-payment, chargebacks, suspected fraud, abuse, or violations of these Terms.

Certain future services, including telehealth-related services, veterinary referrals, marketplace transactions, pharmaceutical offerings, and pet product purchases, may be subject to separate pricing, billing terms, or additional agreements.

REFERRAL RELATIONSHIPS AND COMPENSATION DISCLOSURES

Furva may maintain relationships with veterinarians, veterinary clinics, telehealth providers, pharmacies, pet product providers, laboratories, affiliates, sponsors, and other third parties ("Partner Providers"). As part of the Service, Furva may facilitate referrals, introductions, appointment scheduling, product recommendations, purchases, communications, and other interactions between users and Partner Providers.

You acknowledge that Furva may receive referral fees, commissions, affiliate compensation, revenue-sharing payments, or other forms of compensation in connection with certain referrals, recommendations, purchases, appointments, or transactions involving Partner Providers.

Any referral, recommendation, or compensation arrangement does not constitute an endorsement, guarantee, or representation regarding any Partner Provider, product, service, treatment, or outcome. You are solely responsible for evaluating and selecting any veterinarian, provider, product, or service recommended through the Service.

Furva does not assume responsibility for the services, products, advice, prescriptions, recommendations, communications, or conduct of any Partner Provider and disclaims all liability arising from such third-party relationships.

As Furva expands its offerings, certain referral programs, telehealth services, pharmacy-related services, marketplace features, product recommendations, or other partner-provided services may be governed by separate disclosures, consent requirements, service terms, or agreements that will be provided to you before you access or use those services.

PRIVACY AND DATA PROCESSING

Your use of the Service is subject to our Privacy Policy and Data Use Policy, which are incorporated into these Terms by reference. By using the Service, you acknowledge that Furva may collect, process, store, transfer, and use information relating to you, your pet, uploaded laboratory reports, biomarker data, communications, account information, and other data as described in those policies.

Furva utilizes third-party service providers and technology partners to operate the Service, including providers of hosting, storage, authentication, communications, monitoring, security, and artificial intelligence processing services. As part of providing the Service, information may be shared with such providers and other authorized third parties as described in our Privacy Policy.

You acknowledge that uploaded laboratory reports and related pet information may be processed using third-party artificial intelligence technologies and cloud-based infrastructure to generate AI-powered outputs and provide platform functionality.

Information may be processed, stored, or transferred across jurisdictions in accordance with applicable law and our Privacy Policy. Where required, Furva may rely on the consents and permissions you provide through the Service for data processing, communications, referrals, and related activities.

While Furva implements reasonable safeguards to protect information, no method of transmission or storage is completely secure. To the fullest extent permitted by law, Furva disclaims liability for unauthorized access, security breaches, data loss, or other incidents beyond its reasonable control.

By using the Service, you acknowledge that you have reviewed and consent to the practices described in our Privacy Policy and Data Use Policy.

THIRD-PARTY SERVICES AND INTEGRATIONS

The Service may utilize or provide access to third-party services, including artificial intelligence providers, cloud hosting providers, payment processors, telehealth platforms, veterinary providers, pharmacies, laboratories, and other third-party products and services ("Third-Party Services").

Third-Party Services are not owned or controlled by Furva and may be subject to separate terms, conditions, and privacy policies. Furva does not guarantee the accuracy, availability, security, quality, or performance of any Third-Party Service.

The Service may include integrations, links, referrals, APIs, scheduling tools, or other features that facilitate interaction with Third-Party Services. Such features are provided solely as a convenience and do not make Furva responsible for the actions or omissions of any third party.

Furva is not liable for interruptions, errors, data loss, security incidents, service failures, or other issues arising from Third-Party Services or your interactions with them. Any purchases, appointments, consultations, transactions, communications, or other dealings between you and a third party are solely between you and that third party.

BETA FEATURES AND EXPERIMENTAL SERVICES

Furva may offer beta features, pilot programs, experimental tools, AI enhancements, preview releases, and other pre-release functionality ("Beta Features").

Beta Features are provided for testing and evaluation purposes and may contain errors, inaccuracies, interruptions, security vulnerabilities, or other issues. Such features may be modified, suspended, or discontinued at any time without notice. Furva makes no warranties or guarantees regarding the availability, performance, accuracy, reliability, or continued operation of any Beta Feature.

Your use of Beta Features is voluntary and entirely at your own risk. To the fullest extent permitted by law, Beta Features are provided on an "AS IS" and "AS AVAILABLE" basis, and Furva shall not be liable for any damages, losses, or claims arising from your use of Beta Features.

Any feedback or suggestions you provide regarding Beta Features will be deemed Feedback and may be used by Furva in accordance with Section 10 (Intellectual Property Rights).

SUSPENSION AND TERMINATION

Furva may suspend, restrict, or terminate your access to the Service at any time, with or without notice, if we reasonably believe that:

You have violated these Terms, the Privacy Policy, the Data Use Policy, or any other applicable agreement;

You have provided false, misleading, inaccurate, incomplete, or fraudulent information;

Your use of the Service creates legal, security, operational, financial, or reputational risk for Furva or others;

You have engaged in unlawful, fraudulent, abusive, harmful, or unauthorized activity;

Your actions interfere with the operation, security, or integrity of the Service;

Suspension or termination is necessary to comply with applicable law, court orders, regulatory requirements, or law enforcement requests; or

Continued access is otherwise deemed inappropriate by Furva.

You may terminate your account at any time by using the account deletion tools provided through the Service or by contacting us.

Termination does not relieve you of obligations incurred before termination, including payment obligations, indemnification obligations, or other provisions that survive termination. Upon termination, Furva may disable or delete your account, remove access to User Content, and discontinue providing the Service, subject to applicable law and our data retention practices.

Furva may retain information as reasonably necessary to comply with legal obligations, resolve disputes, enforce agreements, prevent fraud, protect rights, and retain de-identified or aggregated data in accordance with applicable law and our policies.

Any provisions that by their nature should survive termination, including intellectual property rights, licenses, disclaimers, limitations of liability, indemnification, dispute resolution, arbitration, and data rights, shall remain in effect.

DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE, INCLUDING ALL AI-GENERATED CONTENT, REFERRALS, RECOMMENDATIONS, THIRD-PARTY SERVICES, TELEHEALTH-RELATED FEATURES, AND MARKETPLACE FEATURES, IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

FURVA DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND AVAILABILITY.

Without limiting the foregoing, Furva does not warrant that:

The Service will meet your expectations or requirements;

The Service will be uninterrupted, error-free, secure, or always available;

AI-generated outputs or other content will be accurate, complete, reliable, or suitable for any purpose;

The Service will improve pet health outcomes or assist in diagnosing, treating, curing, or preventing any condition;

Any veterinarian, telehealth provider, pharmacy, product provider, or other third party will be qualified, available, or suitable for your needs;

Any product, medication, supplement, or pet food referenced through the Service will be safe, effective, or appropriate for your pet; or

Any defects, errors, inaccuracies, or security vulnerabilities will be corrected.

You acknowledge that your use of the Service is entirely at your own risk and that you are solely responsible for evaluating any information, recommendation, referral, product, service, or third-party provider made available through the Service. Some jurisdictions do not allow the exclusion of certain warranties. In such cases, portions of this Section may not apply to you.

LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, FURVA, NUVOTECH CONSULTING LLC, AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR ANY INJURY, ILLNESS, OR LOSS INVOLVING YOUR PET.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE FURVA PARTIES SHALL NOT BE LIABLE FOR ANY CLAIM, LOSS, DAMAGE, LIABILITY, COST, OR EXPENSE ARISING OUT OF OR RELATING TO:

  • AI-generated outputs, summaries, interpretations, alerts, recommendations, analyses, or other content;
  • User reliance on information provided through the Service;
  • Decisions regarding veterinary care, medications, supplements, nutrition, treatment, monitoring, referrals, or healthcare services;
  • Services, products, recommendations, conduct, omissions, malpractice, negligence, errors, or acts of any veterinarian, telehealth provider, clinic, pharmacy, laboratory, product provider, manufacturer, retailer, affiliate, or other third party;
  • Interruptions, outages, delays, failures, defects, errors, inaccuracies, omissions, or security incidents affecting the Service;
  • Unauthorized access to, alteration of, disclosure of, or loss of data;
  • The unavailability, modification, suspension, or discontinuation of any feature, product, referral program, marketplace functionality, or service; or
  • Any act, omission, event, or circumstance beyond Furva's reasonable control.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FURVA'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT PAID BY YOU TO FURVA DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) US $100.

Some jurisdictions do not permit certain limitations of liability. In such cases, portions of this Section may not apply to you.

ASSUMPTION OF RISK AND RELEASE

You acknowledge that the Service utilizes artificial intelligence, automated data processing, third-party services, veterinary referrals, telehealth-related features, informational content, and product recommendations, all of which may involve risks, limitations, inaccuracies, delays, and uncertainties.

By using the Service, you voluntarily assume all risks associated with your use of the Service and any reliance on information, recommendations, referrals, products, services, or third-party providers made available through the Service. You are solely responsible for evaluating such information, exercising independent judgment, and consulting qualified veterinary professionals regarding your pet's health and care.

To the fullest extent permitted by law, you release and agree not to bring claims against Furva, its affiliates, officers, directors, employees, contractors, and service providers arising from or relating to your use of the Service, AI-generated content, referrals, recommendations, third-party services, technical issues, data-related incidents, or decisions made regarding your pet's care. Nothing in this Section limits any rights that cannot be waived under applicable law.

INDEMNIFICATION

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Furva, Nuvotech Consulting LLC, and their affiliates, officers, directors, employees, contractors, agents, and service providers from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Service, your violation of these Terms or applicable law, your User Content, your misuse of AI-generated content, your interactions with third parties, or your infringement of any third-party rights.

Furva reserves the right, at its own expense and in its sole discretion, to assume the exclusive defense and control of any matter subject to indemnification by you. In such event, you agree to cooperate fully with Furva in asserting any available defenses.

You may not settle any claim subject to indemnification without Furva's prior written consent if the settlement imposes any obligation, admission of liability, restriction, or other burden upon any Indemnified Party. The indemnification obligations contained in this Section shall survive the suspension, termination, expiration, or discontinuation of your account, the Service, or these Terms.

GOVERNING LAW AND DISPUTE RESOLUTION

These Terms and any disputes arising out of or relating to the Service shall be governed by the laws of the State of Florida, without regard to conflict of law principles.

Before initiating arbitration or legal proceedings, the parties agree to attempt to resolve disputes through good-faith negotiations. A party seeking to raise a dispute must first provide written notice describing the nature of the dispute and the requested relief. The parties will then have thirty (30) days to attempt an informal resolution.

Nothing in this Section prevents either party from seeking temporary or injunctive relief to protect intellectual property, confidential information, or other rights requiring immediate protection. Any dispute that cannot be resolved informally shall be resolved through binding arbitration as set forth in Section 22.

You agree that any claim must be brought solely in your individual capacity and not as part of any class, collective, representative, or similar proceeding. The parties acknowledge that this Section and the arbitration provisions are material terms of these Terms.

ARBITRATION AND CLASS ACTION WAIVER

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT, HAVE A JURY TRIAL, OR PARTICIPATE IN A CLASS ACTION.

Except for matters that may be brought in small claims court or claims seeking injunctive relief relating to intellectual property, confidential information, or unauthorized access to the Service, all disputes arising out of or relating to these Terms or the Service shall be resolved exclusively through final and binding arbitration.

The arbitration shall be administered by the American Arbitration Association ("AAA") under its applicable consumer arbitration rules and shall take place in Miami-Dade County, Florida, unless otherwise agreed by the parties or permitted by the applicable rules. The arbitrator shall have exclusive authority to resolve disputes relating to these Terms and may award any remedy available under applicable law. The arbitrator's decision shall be final and binding.

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND FURVA AGREE THAT ALL CLAIMS MUST BE BROUGHT ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR MEMBER OF ANY CLASS, COLLECTIVE, REPRESENTATIVE, OR MASS ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OR PRESIDE OVER ANY CLASS OR REPRESENTATIVE PROCEEDING.

YOU AND FURVA WAIVE ANY RIGHT TO A JURY TRIAL FOR CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE.

If any portion of this Section is found unenforceable, the remaining provisions shall remain in effect to the fullest extent permitted by law. This Section survives termination of your account and these Terms.

You may opt out of this arbitration agreement by providing written notice to Furva within thirty (30) days of the date you first accept these Terms. Your opt-out notice must include your name, account email address, and a clear statement that you wish to opt out of the arbitration provisions contained in this Section.

Opt-out notices may be submitted by email to legal@furva.ai or by mail to the address listed in the Contact Information section of these Terms. If you validly opt out of arbitration, this Section 22 shall not apply to you; however, all other provisions of these Terms, including any class action waiver to the extent permitted by applicable law, shall remain in full force and effect.

If any portion of this Section is found unenforceable, the remaining provisions shall remain in effect to the fullest extent permitted by law. This Section survives termination of your account and these Terms.

CHANGES TO THE PLATFORM AND TERMS

Furva may modify, update, suspend, discontinue, or remove any aspect of the Service at any time, including features, integrations, referral programs, telehealth-related services, marketplace offerings, subscription plans, pricing, and other functionality. We do not guarantee the continued availability of any feature or service and shall not be liable for any resulting interruption or discontinuation.

We may also update these Terms from time to time to reflect changes in our business, services, technology, or legal requirements. Material changes may be communicated through the Service, by email, or through other reasonable means.

Unless otherwise required by law, updated Terms will become effective upon the date specified in the revised version. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

If you do not agree to any changes, your sole remedy is to discontinue use of the Service and terminate your account. No modification of these Terms shall be binding unless authorized by Furva in writing.

MISCELLANEOUS PROVISIONS

24.1 Entire Agreement: These Terms, together with the Privacy Policy, Data Use Policy, and any additional agreements, disclosures, consents, policies, or terms expressly incorporated by reference, constitute the entire agreement between you and Furva regarding the Service and supersede all prior or contemporaneous understandings, agreements, representations, communications, and proposals, whether oral or written, relating to the subject matter hereof.

24.2 Severability: If any provision of these Terms is determined by a court, arbitrator, or other tribunal of competent jurisdiction to be invalid, unlawful, unenforceable, or void, that provision shall be enforced to the maximum extent permitted by applicable law, and the remaining provisions shall remain in full force and effect.

24.3 No Waiver: No waiver by Furva of any right, remedy, provision, breach, or default under these Terms shall be deemed a continuing waiver or a waiver of any other right, remedy, provision, breach, or default. Any waiver must be in writing and signed by an authorized representative of Furva.

24.4 Assignment: You may not assign or transfer your rights or obligations under these Terms without Furva's prior written consent. Furva may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, sale of assets, financing, reorganization, or change of control. These Terms are binding upon and will inure to the benefit of the parties and their respective successors and permitted assigns.

24.5 No Third-Party Beneficiaries: Except as expressly provided herein, these Terms are intended solely for the benefit of the parties and do not create any third-party beneficiary rights in any person or entity.

24.6 Independent Relationship: Nothing in these Terms shall be construed as creating a partnership, joint venture, employment relationship, agency relationship, fiduciary relationship, franchise relationship, or other similar relationship between you and Furva.

24.7 Electronic Communications: You consent to receive communications from Furva electronically, including through email, account notifications, website postings, mobile application notifications, text messages where applicable, and other electronic means. You agree that such electronic communications satisfy any legal requirement that communications be provided in writing.

24.8 Force Majeure: Furva shall not be liable for any delay, interruption, failure, or inability to perform resulting from causes beyond its reasonable control, including acts of God, natural disasters, epidemics, pandemics, labor disputes, telecommunications failures, internet outages, cyberattacks, security incidents, governmental actions, civil unrest, war, terrorism, power failures, third-party service interruptions, or other similar events.

24.9 Interpretation: Headings and section titles are included solely for convenience and shall not affect the interpretation of these Terms. Words such as "including," "includes," and "include" shall be deemed to mean "including without limitation."

24.10 Survival: Any provision of these Terms that by its nature should survive termination, expiration, suspension, or discontinuation of the Service shall survive, including provisions relating to intellectual property rights, licenses, disclaimers, limitations of liability, releases, indemnification, dispute resolution, arbitration, payment obligations, data rights, and enforcement of these Terms.
